Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Verydash EduProplatform (the “Service”) operated by Verydash. By accessing or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of an institute or organisation, you represent that you are authorised to bind it.

2. Definitions

• “Customer” / “Institute”: the organisation that subscribes to the Service.
• “End Users”: the Customer's staff, students, and guardians who use the Service.
• “Tenant Data”: data the Customer and its End Users submit to or generate through the Service.

3. Description of Service

Verydash EduPro provides institute-management software as a service, including admissions, student and staff records, attendance, academics, fees, payroll, communications, and website tools. Features may change, and we may add, modify, or discontinue functionality over time.

4. Accounts & Eligibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information, keep it current, and notify us promptly of any unauthorised use. Accounts may not be shared in a way that circumvents per-seat or plan limits.

5. Customer Responsibilities

The Customer is the data fiduciary/controller for its Tenant Data and is responsible for having a lawful basis to collect and process it, including obtaining any parental/guardian consent required for minors' data. The Customer must ensure its End Users comply with these Terms and must not upload unlawful, infringing, or harmful content.

6. Acceptable Use

You agree not to misuse the Service, including by attempting to breach security or tenant isolation, reverse engineering, overloading the infrastructure, scraping, or using the Service to send unlawful or unsolicited communications. We may investigate and take action, including suspension, for suspected violations.

7. Fees, Taxes & Payments

Paid plans are billed in accordance with the applicable order or pricing in effect. Fees are exclusive of taxes (including GST), which you are responsible for. Payments are processed through our third-party payment gateway, and you authorise the relevant charges. Except as required by law, fees are non-refundable.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Verydash and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We grant no rights other than those expressly stated.

9. Data Ownership & Processing

As between the parties, the Customer owns its Tenant Data. We process Tenant Data only to provide the Service and as described in our Privacy Policy, which forms part of these Terms. The Customer grants us the rights necessary to host, process, and transmit Tenant Data for that purpose.

10. Service Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted operation. We may perform maintenance and may need to take the Service offline temporarily. Any specific availability commitments apply only if set out in a separate written service-level agreement.

11. Third-Party Services

The Service integrates third-party providers (for example, payment, SMS, hosting, and monitoring). Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

12. Warranties & Disclaimers

Except as expressly stated, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or data. Our aggregate liability arising out of or relating to the Service is limited to [LIABILITY CAP — e.g. the fees paid by the Customer in the 12 months preceding the claim].

14. Indemnification

You agree to indemnify and hold Verydash harmless from claims arising out of your Tenant Data, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.

15. Suspension & Termination

We may suspend or terminate access for material breach of these Terms, non-payment, or conduct that risks the security or integrity of the Service, with notice where reasonably practicable. On termination, your right to use the Service ends. The Customer may export its Tenant Data for a limited period after termination, after which we will delete it in accordance with our Privacy Policy and retention practices.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of [GOVERNING JURISDICTION]. The courts at [JURISDICTION CITY] have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory consumer-protection rights.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email, and continued use after changes take effect constitutes acceptance.
